Merger of Baloise and Helvetia Clears Another Major Hurdle

The Swiss Competition Commission has approved the planned merger of Helvetia and Baloise, the two insurers announced on Friday.

In addition, the European Commission successfully completed its Foreign Subsidies Regulation (FSR) review. The transaction is scheduled to be completed on December 5, 2025, provided all other necessary approvals have been obtained by then. The first trading day of the newly issued Helvetia Baloise shares is planned for December 8, 2025.

In April, Helvetia and Baloise announced their decision to merge as equals. In May, the shareholders of both companies approved the merger. Now, the Swiss Competition Commission has cleared the proposed merger of Helvetia and Baloise. Furthermore, the European Commission has successfully concluded its FSR review; it had already granted approval for the transaction in early August.
